Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of Proface CRM (the "Service"), operated by Codevyne Creatives Private Limited ("we", "us", "our"), registered address D 480, 2nd Floor, Palam Extension, Dwarka Sector 7, Delhi 110075, India. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Proface CRM is a subscription-based, cloud-hosted CRM and GST-compliant invoicing platform for accounting firms, tax consultants, and service businesses — covering leads, quotations, client and assignment management, invoicing, payments, and related business records. The Service is provided on a "white-label" multi-tenant basis: each account's data is kept fully isolated from every other account.

2. Eligibility & Account Registration

You must be at least 18 years old and authorized to act on behalf of the business you register, to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us immediately at support@profacecrm.com if you suspect unauthorized access to your account.

3. Subscription Plans & Billing

A Free plan is available with a limited number of invoices, at no cost. Paid plans are billed for a one-month period at the price displayed at checkout (inclusive of applicable GST). Payments are processed by our third-party payment gateway, Razorpay; we do not store your card, UPI, or net-banking credentials.

Paid plans do not renew automatically by charging a saved payment method — you renew manually before your current period ends. If a paid plan's period lapses without renewal, the account is automatically moved to the Free plan, and the applicable invoice limit applies going forward. A GST-compliant invoice is issued for every successful paid transaction and can be downloaded from your account.

4. Your Data

You retain all ownership rights to the business data you enter into the Service (leads, clients, invoices, and related records). You grant us a limited license to host, process, and display that data solely to provide the Service to you. We do not sell your data or your clients' data to third parties. 5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose, or to store or transmit infringing, defamatory, or fraudulent content;
Attempt to gain unauthorized access to another account, tenant, or any part of the Service's infrastructure;
Reverse-engineer, decompile, or attempt to extract the source code of the Service;
Resell or sublicense the Service except through the white-label/reseller features we provide for that purpose;
Interfere with or disrupt the integrity or performance of the Service.

6. White-Label & Reseller Accounts

Where an account is used to provision and manage sub-accounts under your own brand, you are responsible for your own terms of service with your customers, for your own customers' data protection obligations, and for any support you commit to provide them. We remain responsible only for the underlying platform made available to you under these Terms.

7. Intellectual Property

The Service, including its software, design, and the Proface CRM name and branding, is owned by Codevyne Creatives Private Limited and protected by applicable intellectual property laws. Nothing in these Terms transfers any such ownership to you.

8. Suspension & Termination

You may stop using the Service at any time. We may suspend or terminate an account that breaches these Terms, engages in fraudulent or abusive activity, or fails to pay applicable fees, after reasonable notice where practicable. On termination, your right to access the Service ends; we will retain your data for a reasonable period as described in our Privacy Policy to allow for export or reactivation, after which it may be deleted.

9. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available." While we take reasonable steps to keep it secure and available, we do not warrant that it will be uninterrupted or error-free. To the maximum extent permitted by law, Codevyne Creatives Private Limited is not liable for indirect, incidental, or consequential damages arising from your use of the Service, and our total liability for any claim is limited to the fees you paid us in the three months preceding the claim.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date on this page. Continued use of the Service after a change constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of India. Any dispute arising from these Terms or the Service is subject to the exclusive jurisdiction of the courts at Delhi, India.
